Please read these mobile app user terms (the ”App User Terms”) carefully before using or installing the mobile application provided by Juni (the “Juni App”). By starting using the Juni App you agree to be bound by the App User Terms. If you do not agree to the App User Terms, you must not use the Juni App. You may download the Juni App from the ‘App Store’ or ‘Google Play’. You must download and use the most recent version of the Juni App that is available, and download and install any updates that become available from time to time.
In order to download and use the Juni App, you must either be a customer (a “Juni Customer”) or a registered user of Juni Customer (a “User” or “you”) of (i) if you are a company located in the EU/EEA, Juni Technology AB (“Juni AB”), or (ii) if you are a company located in the UK, Payment Card Solutions (UK) Limited.
If the Juni Customer is located in the EU/EEA, these App User Terms are entered into between the User accepting the App User Terms and Juni AB. Juni AB is a Swedish private limited company with registration number 559248-0908, and its registered address at Masthamnsgatan 21, 413 28 Gothenburg, Sweden. If the Juni Customer is located in the UK, these App User Terms are entered into between the User accepting the App User Terms and Juni Financial Limited (“Juni UK”, collectively with Juni AB referred to as “we”, “us” or “Juni”). Juni UK is a private limited company registered in the UK with registration number 13687140, and its registered address is Suite 1, 7th Floor, 50 Broadway, London, SW1H 0BL, United Kingdom.
You understand and acknowledge that the applicable Terms and Conditions (“Juni Terms''), agreed between Juni AB, Juni UK or Payment Card Solutions (UK) Limited and the Juni Customer (as applicable), will govern the relationship between Juni AB, Juni UK or Payment Card Solutions (UK) Limited and the Juni Customer, including, but not limited to, payment accounts, cards and onboarding. You acknowledge that Juni under these App User Terms does not provide financial services to you. These App User Terms shall have no prejudice on the applicable Juni Terms. As a registered user of a Juni Customer, you must comply with the provisions applicable to you in the Juni Terms. You acknowledge that your acts or omissions amounting to a breach of these App User Terms may independently also entail a breach of the applicable Juni Terms by the Juni Customer.
As a User of a Juni Customer, you have been authorised to access the Juni account held by the Juni Customer (the “Juni Business Account”). The access rights connected to the Juni Business Account will be reflected in your Juni App account (the “App Account”). The Juni App allows you to, amongst others, view transaction history, card transactions and card details from the Juni Business Account and upload receipts and attachments linked to transactions (the “App Services”).
When using the Juni App you must comply with the applicable Juni Terms and the following obligations:
When using the Juni App you must, at all times, keep your App Account and security credentials safe and contact us immediately if you suspect that your App Account or security credentials have been compromised, or that the security details of your App Account were potentially used without your permission. Make sure to contact Juni immediately as soon as you become aware of the incident.
Never share your security credentials, such as your username, passwords or codes, and remember to securely store any physical copies. Make sure that you close and log out of the Juni App when not in use, securely store any related device (such as a phone used for authentication purposes), don't store your security credentials on any device, use a strong password not used for other accounts and change your password regularly. Ensure any biometrics, such as Touch ID or Face ID, are only registered on your mobile device, and do not let others use or access the Juni App on your behalf. It is your responsibility to ensure that you always follow our rules and recommendations regarding account security.
Juni’s Privacy Policy applies to the use of the Juni App and the App Services. By accepting these App User Terms, you confirm that you have read and understood the Privacy Policy.
When you use biometric data, including Touch ID or Face ID, to unlock our mobile app on your device or to provide authorisation, such biometric information is kept on your device and is not sent to Juni. We only receive the approval or rejection values in respect of any given biometric identification taking place on your device.
Juni’s intellectual property, such as any content (e.g., text, photographs, designs, graphics) on the App Account or Juni’s website, our logo, card designs, software and source code, are owned or controlled by us or our licensors. Intellectual property rights include but are not limited to copyrights, trademarks, domain names, design rights, database rights and patents.
These rights are exclusively reserved for Juni. You are not permitted to use our intellectual property as your own. You are also prohibited from reverse engineering any of our products, including reproducing them.
We grant you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the App Services solely to manage your App Account and use such other services as we may provide through the App Account in accordance with these App User Terms. The App Services include the Juni App, software, programs, documentation, tools, internet-based services, components and any updates (including software maintenance, service information, help content, bug fixes or maintenance releases) thereto.
We hope that you enjoy the App Services. However, you may not, nor may you permit any third party to, do any of the following: a) access or monitor any material or information on our systems using any manual process or robot, spider, scraper or other automated means, unless you have separately executed a written agreement with us that expressly grants you an exception to this prohibition, b) copy, reproduce, alter, modify, create derivative works from, publicly display, republish, upload, post, transmit, resell or distribute the App Services or any material or information that you receive, or are granted access to, from us, c) permit any third party to use or benefit from the App Services via a rental, lease, timesharing, service bureau or other arrangement, d) transfer any rights granted to you under these App User Terms, e) violate restrictions on the App Services, work around, bypass or circumvent any of the technical limitations of the App Services, use any tool to enable features or functionalities that are otherwise disabled in the App Services, or decompile, disassemble or otherwise reverse engineer the App Services, f) perform or attempt to perform any actions that would interfere with the proper functionality of the App Services, prevent access to or use of the App Services by other customers, or impose an unreasonably or disproportionately large load on our infrastructure, or g) otherwise use the App Services except as expressly allowed under these App User Terms.
The App Services are licenced and not sold. We reserve all rights not expressly granted to you in these App User Terms. The App Services are protected by copyright, trademark, trade secret and other intellectual property laws. As between you and us, we own the title, copyright and other worldwide intellectual property rights in the App Services and all copies of the App Services. These App User Terms do not grant you any rights to our trademarks or service marks.
You may choose to, or we may invite you to, submit comments or feedback relating to the App Services. This includes, without limitation, suggested improvements to the App Services or our other products and services (“Feedback”). By submitting any Feedback, you agree that your disclosure is gratuitous, unsolicited and without restriction, that it will not place us under any fiduciary or other obligation, and that we are free to use the Feedback without any additional compensation to you and/or to disclose the Feedback on a non-confidential basis or otherwise to anyone. You further acknowledge that acceptance of your submission does not waive any rights to use similar or related ideas previously known to us, developed by our employees, or obtained from other sources.
Juni provides the App Services to you on an “as is” and “as available” basis, without any express or implied warranty or condition, except as specifically written in these App User Terms. Juni does not warrant continuous, uninterrupted or secure access to any of the App Services, and we will not be liable for any disruption or impairment of the App Services.
Without limiting the foregoing, we do not warrant that the App Services are accurate, reliable or correct, that the App Services will meet your requirements or will be available at any particular time or location, uninterrupted or secure, that any defects or errors will be corrected, or that the App Services are free from viruses or other harmful components. Your use of the App Services is at your own risk; any content or data downloaded or otherwise obtained through the use of the App Services is downloaded at your own risk, and you will be solely responsible for any damage to your property or loss of data that results from the download.
From time to time we will perform maintenance and upgrades to the App Services, which may result in interruptions, delays or errors in the App Services. Although we will do our best to notify you in advance of any planned maintenance, in accordance with this section, we cannot guarantee that advanced notification will always be provided.
If you experience any interruptions, delays or errors in the App Services, you should notify us immediately through the Juni website or by contacting our Customer Success team at support@juni.co.
Juni will not be responsible for any direct or indirect loss of income or profit, loss of goodwill, damage to reputation, loss of business contracts or opportunities, loss of anticipated savings, or consequential loss.
In addition to the above, and to the extent such limitation is permitted by law, Juni will not be responsible for any loss or cost you may incur as a result of:
Juni will not be liable for any breach or delay in the performance of our obligations under these App User Terms if such breach or delay is caused, directly or indirectly, by fire, internet failures, power failures, flood, earthquake, elements of nature, wars (incl. cyberwar), civil or military disturbances, acts of terrorism, sabotage, strikes, riots, epidemic, pandemic, non-performance of vendors or suppliers or other causes over which Juni has no reasonable control or any cause beyond the reasonable control of Juni, and which Juni could not have avoided despite all efforts (a “Force majeure event”). Should a Force majeure event occur, we will provide you with notice thereof and will be excused from the performance of any affected obligations for as long as such Force majeure event prevails.
Further, Juni will not be liable for any breach or delay in the performance of our obligations under these App User Terms, if such breach or delay is due to us acting in accordance with law or regulations.
You may not assign your rights or obligations under these App User Terms to a third party. You are liable for any obligations under these App User Terms until the App Account is terminated. Juni may assign its rights or obligations under these App User Terms to a company in the same group as Juni without your prior consent but will provide you with prior written notification.
If, at any time, any provision of the App User Terms is or becomes illegal, invalid or unenforceable in any respect under the law of any jurisdiction, neither the legality, validity or enforceability of the remaining provisions, nor the legality, validity or enforceability of such provision under the law of any other jurisdiction, will in any way be affected or impaired.
Any provision that is reasonably necessary to accomplish or enforce the purpose of these App User Terms, will survive and remain in effect in accordance with its respective terms upon the termination of these App User Terms.
These App User Terms, and any dispute or claim arising out of, or in connection with them, will be governed by Swedish law without regard to its conflict of laws principles.
Any dispute or claim arising out of or in connection with these App User Terms, or the breach, termination or invalidity thereof, shall be finally and exclusively settled by arbitration in accordance with the Rules of the Arbitration Institute of the Stockholm Chamber of Commerce. The Arbitration Tribunal shall be composed of three (3) arbitrators. The location of the arbitration shall be Stockholm, Sweden. The language of the arbitration shall be English.
All information disclosed in the course of the arbitral proceedings, as well as any decisions or awards that are made or declared during the proceedings, will be kept strictly confidential provided that neither party shall be prevented from disclosing such information in the event they become compelled (pursuant to any court order, law or regulation or the requirements of any stock exchange or other regulatory organisation, with whose rules it is required to comply), or to the extent required for the execution of any decision made or arbitral award rendered by the arbitral tribunal.
Nothing in this section shall limit the right of Juni to take proceedings against you in any other court of competent jurisdiction if necessary, nor shall the taking of proceedings in any one or more jurisdictions preclude the taking of proceedings in any other jurisdiction or jurisdictions, whether concurrently or not, to the extent permitted by the law of such other jurisdiction or jurisdictions.
The App User Terms will be effective as of the date you start using the Juni App and will continue in force as long as you are a User of a Juni Customer or until terminated by either party. Juni may terminate these App User Terms immediately without reason. In addition, Juni may block, restrict or terminate your right to use the Juni App immediately if you are no longer a User of a Juni Customer or if you violate any provision of these App User Terms or the Juni Terms.
We will ensure you always have easy access to these App User Terms, and they will always be readily available on Juni’s Legal Hub. We constantly work to improve our services, and we have the right to amend, delete or add to these App User Terms, and to change, delete, discontinue or impose conditions on any feature or aspect of the App Services, at any time. Any changes to our App User Terms are communicated through our Legal Hub and will, unless communicated differently, come into effect immediately. If you are not happy with any changes you can contact us and we will terminate the App User Terms and restrict the access to the Juni App. Otherwise, we will assume that you consent to any changes to these App User Terms by continuing using the Juni App.
